The Cabinet Committee on Economic Affairs (CCEA) on Wednesday approved the IDBI Bank strategic restructuring, clearing the sale of a 60.72% equity stake to M/s 10955230 Canada Inc., a subsidiary of Fairfax Financial Holdings Ltd., for a purchase consideration of Rs 52,878.08 crore.

Under the transaction approved on October 14, 2026, the Government of India will divest 30.48% and the Life Insurance Corporation of India (LIC) will offload 30.24% of their equity holdings. Following the disinvestment, the government will retain a 15% residual shareholding, while LIC will hold 19%.

According to an official press release issued by the Press Information Bureau (PIB) in New Delhi, the transaction will mark the largest foreign direct investment in the Indian financial sector once concluded.

Competitive Bidding and Valuation Benchmark

The strategic buyer was selected through a two-stage competitive bidding process, with the winning best offer of Rs 81 per share exceeding the official benchmark price of Rs 75.99 per share.

An earlier round of initial bids invited in financial year 2025–26 was not approved after offers fell short of a reserve price of Rs 94.42 per share. That earlier reserve price had been influenced by an impacted market price of Rs 108.12 on January 8, 2026, compared with an unimpacted price of Rs 42.40 on October 7, 2022, before the Preliminary Information Memorandum was issued.

Due to narrow trading volumes and high volatility, with market prices fluctuating between Rs 61.01 and Rs 118.38 over the valuation period, authorities disregarded the stock market price to avoid misaligning the valuation with the bank’s intrinsic value.

Two independent valuation agencies established the Rs 75.99 benchmark by averaging two distinct valuation approaches:

  • Relative Valuation: The Market Multiple Method applied across public sector banks as of March 31, 2026.
  • Asset Valuation: Assessment based on IDBI Bank’s audited balance sheet as of March 31, 2026.

On May 18, 2026, before the invitation of best offers, the stock closed at Rs 70.38 per share.

Regulatory Clearances and Residual Stake Strategy

The transaction represents a decisive restructuring for the scheduled commercial bank, which was placed under the Reserve Bank of India’s (RBI) Prompt Corrective Action (PCA) framework on May 5, 2017, due to high non-performing assets and sustained losses. The restrictions were removed on March 10, 2021.

The sale was executed through a multi-layered governance framework comprising the Inter-Ministerial Group (IMG), the Core Group of Secretaries on Disinvestment (CGD), and an Alternative Mechanism of Cabinet Ministers.

Out of five initial applicants, four received security clearance from the Ministry of Home Affairs (MHA) and satisfied the RBI’s “Fit and Proper” assessment. This process resulted in two qualified bidders submitting final techno-financial offers.

To finalise the acquisition, M/s 10955230 Canada Inc. must submit its credentials and regulatory compliance roadmap to the RBI.

In addition, the CCEA has authorised the Alternative Mechanism to divest the government’s remaining 15% holding through open-market transactions in accordance with standard operating procedures. LIC will independently manage its 19% residual stake under its internal guidelines and in compliance with regulatory directives.
